These Terms of Service ("Agreement") govern the relationship between Dallas Web Studio ("we," "us," or "DWS") and you ("Client") when you engage us for web design, development, or related services. By requesting a quote, making a payment, or otherwise engaging our services, you agree to be bound by these terms.
Dallas Web Studio provides professional web design, development, and digital services to small businesses and organizations in the Dallas-Fort Worth Metroplex and beyond. Our services include, but are not limited to:
The specific scope of work for your project will be defined in a separate project proposal or statement of work provided prior to commencement. In the event of any conflict between these Terms and a specific project proposal, the project proposal shall control.
Dallas Web Studio operates on a fixed-price model. The price quoted in your project proposal is the price you pay — there are no hidden fees or surprise charges for scope that falls within the agreed deliverables. Any additions to scope after project commencement will be quoted separately and require written approval before work begins.
All projects require a two-part payment structure:
The deposit is due before any design or development work begins. The final payment is due upon your written or email approval of the completed website, prior to the site being launched or files being transferred. Work will not commence without receipt of the deposit, and the completed website will not be launched until the final payment is received in full.
We accept payment via bank transfer (ACH), credit card, debit card, PayPal, Venmo, and Zelle. Payment method options will be specified on your invoice. All invoices are in US Dollars (USD).
Final payments not received within 14 days of the completion notice will accrue a late fee of 1.5% per month on the outstanding balance. Dallas Web Studio reserves the right to suspend or remove live hosting for accounts with outstanding balances of 30 days or more.
For qualifying standard website packages, Dallas Web Studio commits to delivering a first draft of your website within 7 business days of the following conditions being met:
Important: The 7-day timeline is a target for delivery of the first draft, not the final launched website. The full project timeline includes client review, revisions, and final approval, which typically adds 2–5 additional business days depending on the speed of client feedback.
Dallas Web Studio cannot guarantee delivery timelines when delays are caused by the client, including but not limited to: late submission of content or assets, delayed feedback, unresponsiveness, or change of scope requests. In such cases, the 7-day delivery guarantee is suspended until the required materials or decisions are received.
Expedited delivery timelines may be available for an additional rush fee, subject to our current availability. Rush pricing will be quoted on a per-project basis.
Each project includes one (1) round of revisions to the first draft. A revision round is defined as a single consolidated list of changes submitted in writing following your review of the first draft. We encourage clients to compile all feedback into one comprehensive list to make the most of the included revision round.
Additional revision rounds beyond the one included in your package will be billed at our standard hourly rate of $95/hour, with a one-hour minimum per request. Additional revision work will be quoted in advance and requires written approval before work begins.
A revision is a refinement of the agreed-upon design concept — adjusting colors, fonts, layout, copy, or images within the original scope. A change of scope includes adding new pages, new features, significant restructuring of the site architecture, or a complete change in design direction. Changes of scope will be quoted separately.
Note: Revision requests submitted more than 14 days after delivery of the first draft may be treated as a new project scope request and quoted accordingly.
Upon receipt of full payment, Dallas Web Studio assigns to you all rights, title, and interest in and to the final deliverables of your project, including the website design, written code, and any original graphics created specifically for your project. You are free to use, modify, host, and distribute the final website as you see fit.
Certain elements incorporated into your website may be subject to third-party licenses, including stock photography, icon libraries, fonts, and open-source frameworks. These elements are licensed for your use per their respective terms. Dallas Web Studio will disclose any material third-party licensed assets used in your project.
You represent and warrant that you have the legal right to use all content, images, logos, and materials you provide to us for your website. You grant Dallas Web Studio a license to use your provided materials solely for the purpose of completing your project. You remain solely responsible for ensuring your content does not infringe any third-party intellectual property rights.
Dallas Web Studio retains the right to display your completed website as part of our portfolio, in marketing materials, on our website, and on social media platforms. If you require a non-disclosure arrangement regarding your project, please notify us in writing before project commencement and we will accommodate your request.
Dallas Web Studio offers optional managed hosting plans. Hosting is billed monthly or annually and covers server infrastructure, SSL certificates, domain management (where applicable), and basic uptime monitoring. Hosting fees are separate from website build fees and are billed on an ongoing basis.
Our website care plans include regular software updates, security monitoring, plugin and theme maintenance, backup management, and a monthly allocation of support hours. Care plan details, pricing, and included services are specified in the care plan agreement or proposal provided separately.
If you choose to host your website independently (with a third-party host such as Cloudflare Pages, Vercel, Netlify, WP Engine, or similar), Dallas Web Studio is responsible for delivering functional website files. Ongoing uptime, performance, and security of the site become entirely the client's responsibility once files are transferred and the project is launched on the client's hosting environment.
For DWS-managed hosting plans, we target 99.9% uptime. However, we do not guarantee uninterrupted service. Planned maintenance windows, third-party service outages, and force majeure events may result in temporary unavailability. We are not liable for losses arising from hosting downtime beyond our reasonable control.
To ensure a smooth project, you agree to the following responsibilities as the client:
Dallas Web Studio is not responsible for errors or omissions in the website that arise from inaccurate, incomplete, or delayed client-provided content or approvals.
To the fullest extent permitted by applicable law, Dallas Web Studio's total liability to you for any claim arising out of or relating to these Terms or your project shall not exceed the total fees paid by you to Dallas Web Studio for the specific project giving rise to the claim.
In no event shall Dallas Web Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or reputational harm, even if Dallas Web Studio has been advised of the possibility of such damages.
Dallas Web Studio does not guarantee specific business outcomes, search engine rankings, conversion rates, traffic levels, or revenue results from any website or digital service we deliver. Website performance in search engines and the market is subject to many factors beyond our control.
Some jurisdictions do not allow limitation of implied warranties or exclusion of incidental or consequential damages, so the above limitations may not apply to you in their entirety.
You may cancel your project at any time by providing written notice to Dallas Web Studio. In the event of client-initiated cancellation:
Dallas Web Studio reserves the right to terminate an engagement at any time if: the client is unresponsive for 30 or more consecutive business days; the client engages in abusive or harassing behavior toward our team; the client requests work that is illegal, unethical, or violates the rights of third parties; or the client materially breaches these Terms. In such cases, Dallas Web Studio will invoice for all work completed to the termination date, and a prorated refund of the deposit will be provided for work not yet completed.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or any project engagement with Dallas Web Studio shall be subject to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas. You consent to personal jurisdiction in such courts.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve the dispute in good faith through direct communication. Either party may request a mediation session by written notice. We genuinely want every project to end successfully and will make every reasonable effort to address client concerns promptly and fairly.
If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
These Terms, together with any project proposal or statement of work signed by both parties, constitute the entire agreement between you and Dallas Web Studio with respect to your project and supersede all prior agreements, representations, and understandings.
